What is Shelf Filing ?
The Securities and Exchange Commission (SEC) rule that permits a company to register a public offering with the SEC for sale at some unspecified future date is known as “Shelf Registration.” Under this rule, the company can register the securities in advance without specifying an immediate sale date. This allows the company to access the capital markets quickly when it decides to proceed with the offering, providing more flexibility in timing and responding to market conditions.
