The “preliminary prospectus” is an offering document printed by the issuer that includes a comprehensive description of the business, strategy, historical financial statements, recent financial results, management details, and ownership. It is identifiable by the red lettering down the left-hand side of the front cover and is sometimes referred to as the “red herring.” This document provides valuable information to potential investors before the official offering is made.
